Partner Program - General Terms

CWS Israel Ltd – Referral Partner Program Agreement
Effective: December 2025 | Version 1.0

Overview & Purpose

Important: This Agreement governs your participation in the CWS Israel Referral Partner Program. By signing below, you agree to these terms and become an approved partner eligible for commission on referred Employer of Record (EOR) clients and HR services.

We've written this agreement in plain language so it's easy to understand. The "Which Means" sections summarise each clause in everyday terms, but all sections are legally binding.

The CWS Israel Partner Program is designed to reward partners who refer quality clients to our Employer of Record and HR services. Whether you're a consultancy, HR advisor, accountant, lawyer, investor, recruiter, or technology platform, you can earn competitive commissions on every successful referral.

1. Program Overview

The CWS Israel Partner Program is open to approved partners who refer companies seeking Employer of Record services in Israel. Partners include consultancies, HR advisors, accountants, lawyers, investors, recruiters, and technology platforms, including global EOR platforms.

As a partner, you'll earn commission when your referrals become paying CWS Israel clients. We also offer commission on HR advisory services purchased by your referred clients.

Which Means: You introduce companies to us. When they sign up and start paying, you earn money for as long as they remain our client.

2. Eligibility & Acceptance

To participate in the Partner Program, you must:

  • Sign this Agreement
  • Provide accurate business and payment details
  • Submit referrals through approved channels (email to partnerships@cwsisrael.com or our partner portal when available)
  • Comply with the conduct standards in Section 6

CWS Israel reserves the right to accept or decline partner applications at its discretion.

Which Means: Sign this document, tell us where to send payments, and submit leads properly. We'll confirm your acceptance within 5 business days.

3. Commission Structure

3.1 EOR Referrals

You earn commission at three stages when referring EOR clients:

Milestone Commission Trigger
Sales-Qualified Lead Discovery call completed and pricing shared — $100
Customer Activation First employee onboarded and first invoice paid — $500
Recurring (Lifetime) Per active employee, every month — $35/month

Lifetime commission means you receive $35 per employee per month for as long as that employee remains employed through CWS Israel — from their first payslip to their last.

3.2 HR Services Commission

When your referred clients purchase additional HR services (Benefits Setup, HR Advisory, Visa Support, Onboarding Services, or Time & Leave Management), you earn 15% of first-year service fees, paid quarterly in arrears.

Which Means: Refer a company → $100 when we have a proper sales call with them. They sign up → $500 bonus. Then $35/month per employee, forever, until that employee leaves. Plus 15% of any HR services they buy in year one.

4. Partner Tiers

Your tier is based on the total Annual Recurring Revenue (ARR) you've referred. Higher tiers unlock additional benefits. Tiers are reviewed quarterly.

Platinum $60,000+ All Gold benefits + priority support, joint case studies, dedicated partner manager
Diamond $150,000+ All Platinum benefits + executive sponsorship, joint webinars, early access to new services

Note: ARR is calculated as $5,500 per employee per year based on standard EOR pricing ex. VAT.

Which Means: Everyone starts at Silver. Refer about 6 employees worth of business → Gold. About 11 employees → Platinum. About 28 employees → Diamond with VIP treatment.

5. Payment Terms

  • Payout Schedule: Commissions are calculated monthly and paid within 45 days of CWS Israel receiving cleared payment from the referred client.
  • HR Services Commission: Paid quarterly in arrears, within 45 days of quarter end.
  • Minimum Threshold: Payments are issued when accumulated commission reaches $500. Amounts below this threshold roll over to the following month.
  • Payment Method: Bank wire transfer to the account you provide. You are responsible for keeping payment details current.
  • Currency: All commissions are denominated and paid in US Dollars (USD).
  • Taxes: You are responsible for all taxes on commission income. CWS Israel will provide documentation as required by Israeli law.
Which Means: We batch payments monthly. Once you've earned $500+, we'll wire it to your bank account within 45 days. Keep your bank details updated, and handle your own taxes.

6. Partner Conduct & Brand Usage

As a CWS Israel partner, you may use our brand assets and sales materials for legitimate referral activities. However, the following activities are strictly prohibited:

  • Submitting false, misleading, or non-consensual referrals
  • Using spam, bots, or deceptive tactics to generate leads
  • Running paid advertisements that bid on CWS Israel brand keywords
  • Modifying or republishing CWS Israel materials without written approval
  • Representing yourself as a CWS Israel employee or agent
  • Sharing referral information without proper consent under applicable privacy laws

Upon termination of this Agreement, you must immediately cease using all CWS Israel brand assets and remove them from your materials.

Which Means: Promote us honestly. Don't spam, don't pretend to work for us, don't buy Google Ads on our brand name, and make sure your referrals actually want to hear from us.

7. Data Protection & Privacy

You must comply with all applicable data protection laws when submitting referrals, including but not limited to:

  • Israel Privacy Protection Law 5741-1981
  • EU General Data Protection Regulation (GDPR), where applicable
  • Any other privacy laws applicable in your jurisdiction

You must ensure that any individual whose information you provide to CWS Israel has given valid consent to be contacted. CWS Israel will process referral data in accordance with our Privacy Policy.

Which Means: Only refer people who've agreed to be contacted. Follow privacy laws — Israeli law, GDPR if relevant, whatever applies to you. We take data protection seriously.

8. Term & Termination

  • Term: This Agreement begins on the date of signature and continues until terminated.
  • Termination by Partner: You may terminate at any time with 30 days' written notice to partnerships@cwsisrael.com.
  • Termination by CWS Israel: We may terminate with 30 days' written notice, or immediately in cases of fraud.
  • Cure Period: For breaches other than fraud, CWS Israel will provide written notice and 7 days to remedy the breach before termination.
  • Post-Termination Commission: Following termination, you will continue to receive commission on all employees referred prior to the termination date, until their employment with CWS Israel ends. This right survives termination.
Which Means: Either of us can end this with 30 days' notice. If you break the rules (not fraud), we'll give you 7 days to fix it. Importantly: even after you leave the program, you'll keep earning on employees you already referred until they leave CWS Israel.

9. Amendments

CWS Israel may amend this Agreement with 30 days' written notice to your registered email address. Amendments will not affect commission rates or terms for referrals already in our pipeline at the time of notice. If you do not agree to the amendments, you may terminate this Agreement before they take effect.

Which Means: If we change the terms, we'll email you 30 days ahead. Deals you've already sent us stay on the old terms. Don't like the changes? You can leave before they kick in.

10. Limitation of Liability

To the maximum extent permitted by law, CWS Israel's total liability under this Agreement shall not exceed the total commission paid to you in the 12 months preceding any claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.

Which Means: If something goes wrong, the most we'd owe you is what we paid you in the last year. Neither of us can sue for hypothetical or indirect losses.

11. Indemnification

You agree to indemnify CWS Israel against any claims arising from your breach of this Agreement, your referral activities, or your violation of any law. CWS Israel agrees to indemnify you against claims arising directly from CWS Israel's provision of EOR services to referred clients.

Which Means: If your actions cause us legal trouble, you cover our costs. If our services cause you legal trouble, we cover yours. Fair's fair.

12. Confidentiality

Both parties agree to keep confidential any non-public information shared under this Agreement, including commission rates, client information, and business strategies. This obligation continues for 2 years after termination.

Which Means: Don't share our business secrets, and we won't share yours. This lasts 2 years after we part ways.

13. Governing Law & Disputes

This Agreement is governed by the laws of the State of Israel. Any dispute shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration in Tel Aviv under the rules of the Israel Institute of Commercial Arbitration. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Which Means: Israeli law applies. If we disagree, we'll try to work it out. If we can't, we go to arbitration in Tel Aviv — not court.

14. General Provisions

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions and agreements.
  • Assignment: You may not assign this Agreement without CWS Israel's written consent.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • No Waiver: Failure to enforce any right under this Agreement does not waive that right.
  • Force Majeure: Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, terrorism, or government actions.
  • Notices: All notices must be in writing and sent to partnerships@cwsisrael.com (for CWS Israel) or your registered email address (for Partner).
Which Means: This document is the whole deal. Standard legal protections apply. Acts of God and wars give us both a pass. Email is how we officially communicate.

15. Partner Support

CWS Israel is committed to your success as a partner:

  • Response Time: 24-hour response to partner enquiries, 365 days a year
  • Partner Portal: Track referrals and commissions online (coming soon)
  • Co-Marketing: We'll dedicate resources to joint marketing activities for Gold tier and above
